PENNSYLVANIA ASSOCIATION OF SCHOOL RETIREES

Proposed Revision of By-Laws

ARTICLE I - NAME

The name of this non-profit organization shall be the Beaver County Chapter of the Pennsylvania Association of School Retirees, an independent autonomous, and self governing association. The Pennsylvania Association of School Retirees shall be referred to as PASR in this document.

ARTICLE II - AFFILIATION

The Beaver County Chapter of PASR is an unincorporated, non-profit entity affiliated by charter with the Pennsylvania Association of School Retirees.

ARTICLE III - PURPOSE

The objectives of the Chapter shall be:

A. To promote, improve and defend education.

B. To cooperate with education associations and other organizations in the interest of any worthy educational programs - local, state, national, and international.

C. To promote the economic, social and professional status of all retired school employees.

D. To afford an opportunity for expression and interchange of opinions on subjects of special interest to retired school employees.

E. To act on behalf of retired school employees involving their welfare and personal needs.

F. To develop a cooperative and unified program of activities among retired school employees.

G. To strive for a goal of 100 percent membership at the chapter and state levels, and to support effectively these organizations in their programs concerning the interest, welfare, and education of members.

H. To promote opportunities for recreation and sociability.

ARTICLE IV - MEMBERSHIP

Membership in the Chapter shall consist of two (2) classifications:

A. Active Member
B. Associate Member

ARTICLE V - OFFICERS

Section A - The elected officers of the Chapter shall be a president, vice-president, recording secretary, corresponding secretary, treasurer, and assistant treasurer.

Section B - The duties of the offices of president, vice president, corresponding secretary, recording secretary, treasurer, and assistant treasurer shall be those usual to such offices.

ARTICLE VI - ELECTION OF OFFICERS

Section A - Election of officers shall take place at the fall meeting in the even-numbered years with installation to take place at the winter meeting. Elected officers shall assume their offices on January 1st in the following old-numbered years.

Section B - Chapter officers shall be limited to serve two 2-year terms in office unless unusual circumstances deem otherwise (resignation, death, unable to find succeeding candidates, etc.).

Section C - The membership and fiscal year of the Chapter will be from July 1 to June 30.

Section D - The Nominating Committee, appointed by the president, shall present a previously announced slate of candidates, consisting of one candidate for each office, at the meeting in which elections are held. Additional nominations for all offices may be made from the floor with the nominee’s approval. Elections shall be conducted by voice ballot unless the balloting procedure is suspended by a two-thirds vote of the members present.

ARTICLE VII - MEETINGS

Section A - The Association shall hold four meetings each year: FALL - WINTER - SPRING - SUMMER. The biennial meeting for the election of officers shall be the regular fall meeting in the even numbered years.

Section B - Stated meeting of the Chapter shall be held at such places and such time as shall be determined by the Executive Committee.

Section C - Special meetings may be held at the call of the president or upon request of five members in good standing. Notice of all regular meetings shall be given by mail at least two weeks in advance of such meetings.

ARTICLE VIII - STANDING COMMITTEES

Section A - EXECUTIVE COMMITTEE - This committee shall be the policy making body of the Chapter.

1. The Executive Committee shall consist of all elected officers and committee chairpersons . Past presidents shall act in an advisory capacity and shall be eligible to vote on all questions brought before the committee.

2. All vacancies occurring during the year shall be filled by this committee and appointees shall serve until the next biennial meeting. The committee shall act for the Chapter between regular and special meetings. The Executive Committee shall authorize routine and anticipated expenditures at the first meeting of the year. Emergency or non-routine expenditures shall be paid by the treasurer on submission of itemized bills approved by the president. These shall be submitted to the Executive Committee at the next regular meeting.

3. All actions taken by this committee shall be reported at the next regular meeting of the Chapter.

Section B - The president will appoint the following committees:

1. The Legislative Committee shall concern itself with the enactment of legislation at both the state and national levels, keep the membership informed of such legislation, and recommend procedures for securing action of pending legislation.

2. The Membership Committee shall coordinate all efforts of chapter in securing new and active members for the local and state association.

3. The Program Committee shall plan and arrange all general and special meetings as set up by the Executive Committee. The vice-president shall serve as chairman of the Program Committee.

4. The Informative and Protective Services Committee shall render service to those members who need assistance in solving personal and financial problems of retirement.

5. The Social Services Committee shall be responsible for services to those retirees who, due to illness or old age, are temporarily or permanently confined to their homes, hospitals, or in nursing homes. It shall be the responsibility of this committee to send cards, notes, or gifts or make personal calls to confined members or to send messages of condolence when such is required.

6. The Memorial Honor Fund Committee shall keep the members informed of the fund and promote membership contributions in honor of the living and the deceased members. Funds so collected are distributed through the Social Services Committee. The Memorial Honor Committee will keep a record of all deceased members.

7. The Public Relations Committee shall formulate plans, develop programs and materials that can be used to interpret the programs and services of the Chapter to members, prospective members, and the general public. This committee shall be responsible for all media publicity.

8. The By-laws Committee shall study and recommend revision of the by-laws as the need arises and provide continued consistency between Chapter and PASR by-laws.

9. The Community Participation Committee shall plan social and recreational services for retired school employees and shall encourage volunteer services for the benefit of the community. This includes but is not limited to, the Scholarship Fund and the Spelling Bee.

10. The Finance Committee shall consist of at least three members including the treasurer. Its duties shall be to administer the funds of the Chapter.

11. The Pre-Retirement Committee shall initiate the planning and presentation of programs on various aspects of retirement planning. Such programs shall be open to all school employees and their spouses. Special efforts should be made to enlist those persons who may be planning to retire within the next several years.

12. The Auditing Committee, appointed by the president, at the annual meeting shall audit the accounts of the treasurer as soon as possible after the annual meeting and shall make a report at the next meeting.

13. The Educational Support Committee shall consist of a chairperson and additional members appointed by the president. The purpose of the committee shall be to: establish relations with other organizations involved in public education at the local level; evaluate proposals and programs proposed locally to improve or provide support to public education; to identify or develop programs providing support to public education in which members may be encouraged to participate; and, to promote contributions to the PASR Scholarship Fund.

14. The L-PEC Committee shall consist of a chairperson and additional members appointed by the president. The purpose of the committee shall be: to inform the members of the positions of candidates for national and state offices on issues relating to the interests of retired public school employees; to encourage and facilitate bi-partisan participation of individual

members in political campaigns; to assist the legislative committee in the performance of their duties; and, to encourage member contributions to the PASR L-PEC Fund.

15. The Resolutions Committee shall consist of a chairperson and additional members appointed by the president. The purpose of the committee shall be to inform the members of resolutions adopted by the House of Delegates at the previous Annual Convention of PASR, and to solicit proposed resolutions from members for possible consideration by the House of Delegates at the next Annual Convention of PASR.

16. The RECREO Committee shall consist of the RECREO Coordinator acting as chairperson and additional members appointed by the president. The purpose of this committee is to plan and schedule recreational and educational trips for the members and their friends. The cost of the trips is the responsibility of the participants.

ARTICLE IX - MEMBERSHIP DUES

Annual and life dues assessments for all membership classifications shall be established by the Executive Committee following discussions of the proposed amounts at a general meeting of the Chapter’s membership.

ARTICLE X - CONVENTION

Delegates to the State Convention shall be the president and others in accordance with PASR. Reasonable expenses exceeding the amount paid by the state will be provided by the Chapter as funds are available.

ARTICLE XI - THE PENNSYLVANIA DIRECTORS LIABILITY ACT

Section A. The Beaver County Chapter of School Retirees has Officers rather than Directors so this Chapter will substitute the word officer for the director of this Article.

Section B. Officers and members of the Beaver County Chapter of PASR Executive Committee shall not be personally liable for monetary damages as such for any section, or failure to take any action unless:

1. The officer or member has breached or failed to perform the duties of office as required under Section 8363 of the Pennsylvania Directors Liability Act relating to standard care and justifiable reliance by the officer, and;

2. The breach or failure to perform constitutes self dealing, willful misconduct or recklessness.

ARTICLE XII - AMENDMENTS

Amendments to the constitution and By-laws may be made by a vote of two-thirds of the members present at any stated meeting, provided that notice of such changes or additions were given at a preceding meeting, or to all members by mail at least one month prior to the meeting, or to all members by mail at least one month prior to the meeting at which such amendments or amendments will be presented for action.

ARTICLE XIII - DISPOSITION OF ASSETS

In the event of dissolution of the Beaver County Chapter of the Pennsylvania Association of School Retirees, assets of the Chapter, remaining after the discharge of all liabilities shall be transferred to the Pennsylvania Association of School Retirees.

ARTICLE XIV - PARLIAMENTARY AUTHORITY

The Parliamentary Authority for these By-Laws and for conducting the affairs of the Chapter shall be Roberts Rules of Order Revised.
